Appointment and Resignation of Directors
As Company Secretary, we ensure all official records remain accurate and up to date. This includes the timely notification to Companies House regarding the appointment or resignation of Directors, ensuring your board’s legal structure is always correctly reflected on the public record.
Depending on their specific Articles of Association, Right to Manage (RTM) companies may require Directors to stand for re-election periodically. Other companies may have varying rules regarding the appointment of new or returning candidates. We can review Articles of Association to advise on the correct procedures, ensuring your board remains constitutionally sound.


Confirmation Statement
Lodging Statutory Accounts (also known as "Annual Accounts") is a legal requirement for every limited company in the UK, including Resident Management Companies (RMCs) and Right to Manage (RTM) companies.
There are financial penalties for "Late Filing" which increases the longer the period and these are not just a one-off fine; they are a stepped system designed to penalize longer delays. For a private limited company (which most RMCs and RTMs are), the fines scale up quickly and are issued automatically the moment a deadline is missed.
Lodging Statutory Accounts




The Confirmation Statement is a mandatory annual filing procedure that every UK limited company, including both Residential Management Companies (RMCs) & Right to Manage Companies (RTMs), must submit to Companies House.
Its primary purpose is to verify that the information Companies House holds about your company is accurate and up to date. Unlike annual accounts, which focus on finances, the Confirmation Statement focuses on the legal structure of the business.
Maintaining Share Register or Membership Records
We typically administer two types of management companies. Companies Limited by Guarantee do not have shares; instead, each leaseholder is a member of the company. Companies Limited by Shares issue share certificates to leaseholders, which are formally transferred to new owners when a property is sold. In both cases, membership or shareholding is strictly linked to property ownership—ensuring that control of the company remains exclusively with the current leaseholders.
Regardless of the company structure, our role as Company Secretary remains consistent. We take a lead role in maintaining the company’s statutory records and managing the formal transfer of shares or memberships whenever a property is sold, ensuring a smooth transition for both buyers and sellers.
